LANALTX SUBSCRIPTION SERVICES AND LESSON PLANS

TERMS AND CONDITIONS

SECTION 1 - INTRODUCTION

These Terms and Conditions govern subscriptions, recurring plans and prepaid lesson packages purchased from or supplied by LANALTX.

They apply to:

• Subscription-based applications, bots and digital learning services.

• Lesson Studio subscriptions.

• Recurring individual lesson plans.

• Recurring group lesson subscriptions.

• Conversation-club subscriptions.

• Monthly lesson passes.

• Prepaid lesson packages.

• Trial subscriptions and promotional plans.

• Additional paid features included within a subscription service.
```

These Terms should be read together with the LANALTX Terms of Service, Privacy Policy and any plan information displayed at checkout.

Where there is a conflict concerning a subscription, lesson plan or prepaid lesson package, these Subscription Terms will apply to that purchase.

SECTION 2 - ABOUT LANALTX

The Services are supplied by LANALTX, established in the Republic of Cyprus.

SECTION 3 - DEFINITIONS

In these Terms:

“Customer” means the adult person or organisation purchasing a Subscription Service or Lesson Plan.

“Learner” means the person receiving lessons, coaching, digital practice or learning support.

“Subscription Service” means a service that renews automatically on a monthly, annual or other recurring basis.

“Digital Subscription” means recurring access to an application, bot, student portal, digital platform or online learning tool.

“Lesson Subscription” means a recurring plan that includes a stated number or type of individual or group lessons during each billing period.

“Lesson Package” means a fixed number of prepaid lessons or coaching sessions that must be used within the validity period shown at purchase.

“Billing Period” means the recurring period for which payment is taken, such as one month or one year.

“Services” means the subscription, lesson, coaching, application or digital services covered by these Terms.

SECTION 4 - ELIGIBILITY AND AGE REQUIREMENTS

You must be at least 18 years old and have the legal capacity to enter into a binding contract to:

• Create a paid LANALTX account.

• Purchase a subscription.

• Purchase a Lesson Package.

• Provide payment information.

• Accept these Terms.
```

An adult may purchase or arrange a separate teaching service for a younger learner only where that particular service expressly accepts learners under 18.

The adult purchaser remains responsible for the contract, payment, communication and any required consent or authorisation relating to that learner.

Lesson Studio is strictly limited to users and learners aged 18 or over.

Teachers, organisations and other users must not use Lesson Studio to create profiles for, enter information about, provide access to, plan lessons for or manage lessons for anyone under 18.

SECTION 5 - SERVICES COVERED

5.1 Digital and Application Subscriptions

Digital Subscriptions may provide access to features such as:

• Language-learning applications.

• AI-supported practice.

• Vocabulary and flashcard activities.

• Grammar practice.

• Speaking and pronunciation tools.

• Personalised feedback.

• Progress tracking.

• Lesson summaries.

• Student portals.

• Teacher-linked reports and feedback.

• Lesson Studio teacher or adult learner features.
```

The exact features, limits and access conditions are shown on the relevant product or pricing page.

5.2 Individual Lesson Subscriptions

Individual Lesson Subscriptions may include a stated number of private lessons or coaching sessions during each Billing Period.

The plan description will state:

```
• The number of lessons included.

• The usual lesson duration.

• The lesson type or permitted subjects.

• Whether unused lessons may roll over.

• Any booking restrictions.

• The recurring price.
```

5.3 Group Lesson Subscriptions

Group Lesson Subscriptions may provide access to a stated number of scheduled group classes during each Billing Period.

Group subscriptions provide access to classes rather than a guarantee of individual teaching time.

Class dates, times, topics, group size and teacher availability may vary.

5.4 Monthly Passes

A Monthly Pass may combine individual lessons, group lessons, digital access or other benefits.

The benefits included in each Monthly Pass are limited to those stated on the relevant pricing page at the time of purchase.

5.5 Prepaid Lesson Packages

Prepaid Lesson Packages provide a fixed number of lessons or coaching sessions for a one-off price.

Each package will state:

• The number of sessions included.

• The lesson or coaching focus.

• The package validity period.

• Any booking or use restrictions.
```

Lesson Packages do not automatically renew unless the purchase page clearly states otherwise.

5.6 Additional Features

Some plans may include additional materials, feedback, reports, vocabulary summaries, recordings, application access or support.

Additional features are included only where they are expressly stated in the plan description.

SECTION 6 - PLAN INFORMATION AND CONTRACT FORMATION

Before completing a purchase, you will be shown the main features of the plan, the price, billing frequency, duration and any automatic-renewal conditions.

You are responsible for reviewing this information before purchasing.

A contract is formed when:

• You complete the order process.

• Payment is authorised or accepted.

• LANALTX sends an order or subscription confirmation.
```

The order confirmation, plan description and these Terms form part of the contract.

If a pricing or product page contains an obvious technical or pricing error, we may cancel the affected order and refund any amount paid.

SECTION 7 - PRICES, VAT AND PAYMENT

Prices are displayed in euros unless another currency is clearly shown.

Prices include VAT where stated or where required by applicable law.

Payments may be processed through Stripe, PayPal, Wix Payments or another payment provider shown at checkout.

By purchasing a recurring Subscription Service, you authorise LANALTX and the relevant payment provider to charge the displayed subscription price on each renewal date.

LANALTX does not normally receive or store complete payment-card information.

Payment providers process payment information under their own terms and privacy notices.

You will receive an order confirmation, invoice, receipt or payment record electronically.

SECTION 8 - AUTOMATIC RENEWAL

Recurring subscriptions automatically renew at the end of each Billing Period until cancelled.

The renewal frequency will be displayed before purchase.

Renewal may be monthly, annual or based on another clearly stated period.

By purchasing a recurring subscription, you authorise the renewal charge to be taken from your selected payment method.

You may cancel future renewals at any time.

Cancellation does not normally reverse a payment already taken for the current Billing Period.

SECTION 9 - FAILED PAYMENTS

If a subscription payment fails, we or the payment provider may attempt to process the payment again.

We may temporarily suspend access while payment remains outstanding.

If payment is not completed, we may cancel the subscription.

You remain responsible for legitimate charges incurred before cancellation.

SECTION 10 - PRICE CHANGES

We may change subscription prices by giving reasonable advance notice.

A price change will not affect a Billing Period that has already been paid.

The new price will apply from the renewal date stated in the notice.

You may cancel the subscription before the new price takes effect.

If you cancel because of a future price change, you will normally retain access until the end of the current paid Billing Period.

SECTION 11 - FREE TRIALS AND PROMOTIONS

Some Subscription Services may include a free or reduced-price trial.

The duration and conditions of the trial will be shown before registration.

Where payment details are required, the subscription may begin charging automatically when the trial ends unless you cancel before the stated deadline.

Any automatic charge following a trial must be disclosed before the trial begins.

Unless otherwise stated, free trials are limited to one trial per person, account or payment method.

We may refuse, withdraw or cancel a trial where we reasonably believe it is being misused.

SECTION 12 - ACCOUNTS AND ACCESS

Subscription accounts are personal to the registered account holder unless a business or organisation plan expressly permits multiple users.

You must not:

• Share your account password.

• Sell or transfer your account.

• Allow an unauthorised person to use your subscription.

• Bypass payment or access controls.

• Create multiple accounts to obtain repeated free trials.

• Misrepresent your identity or eligibility.
```

You are responsible for activity carried out through your account unless it results from a security failure for which LANALTX is responsible.

You must notify us promptly if you believe your account has been accessed without permission.

SECTION 13 - DIGITAL SERVICE ACCESS

Digital Subscription access normally begins after successful payment or completion of an authorised trial registration.

You are responsible for having:

• A suitable device.

• A supported browser or operating system.

• A stable internet connection.

• Any required microphone, speakers or camera.

• Sufficient device storage where downloads are offered.
```

We may update applications and digital features to improve security, compatibility, functionality or performance.

Some updates may be required for continued use.

We do not guarantee that every feature will work on unsupported, outdated or modified devices.

SECTION 14 - BOOKING INDIVIDUAL LESSONS

Lessons are subject to teacher availability.

Customers should book lessons using the booking method provided by LANALTX.

A lesson is not confirmed until the booking system or teacher confirms the date and time.

You are responsible for checking:

```
• The lesson date.

• The lesson time.

• The relevant time zone.

• The meeting link or location.

• Any preparation requirements.
```

Lesson durations are those stated in the plan or booking confirmation.

SECTION 15 - RESCHEDULING INDIVIDUAL LESSONS

An individual lesson may normally be rescheduled where at least 24 hours’ notice is provided.

Rescheduling is subject to teacher availability.

A request made with less than 24 hours’ notice may be treated as a late cancellation and the lesson may be deducted from the subscription or package.

Repeated rescheduling may be restricted where it prevents reasonable delivery of the plan.

Exceptional circumstances may be considered at our discretion, but discretionary exceptions do not create an ongoing entitlement.

SECTION 16 - MISSED LESSONS AND LATE ATTENDANCE

If you do not attend a confirmed individual lesson and have not cancelled within the required notice period, the lesson may be treated as used.

If you arrive late, the lesson will normally still end at the scheduled finishing time.

The teacher is not required to extend the lesson because of customer lateness.

Technical problems on the customer’s side, including connection, device, microphone or camera problems, do not automatically entitle the customer to a replacement lesson.

Where a serious technical problem is caused by LANALTX or the teacher’s systems, we will provide an appropriate remedy.

SECTION 17 - GROUP LESSON ATTENDANCE

Group lesson subscriptions provide access to scheduled classes.

A missed group class is not normally replaced, rescheduled or refunded because the class and place were made available.

Unused group-class entitlements do not automatically carry forward to a later Billing Period unless the plan expressly says that they do.

Customers must behave respectfully towards teachers and other participants.

We may remove a participant who is abusive, disruptive, discriminatory or repeatedly interferes with the class.

Removal for serious misconduct does not automatically create a right to a refund.

SECTION 18 - CANCELLATION OR RESCHEDULING BY LANALTX

We may need to change a teacher, lesson time, group schedule or delivery method because of illness, emergency, technical failure, availability or another reasonable operational reason.

Where LANALTX cancels an individual lesson, we will normally offer:

• A replacement lesson.

• A rescheduled lesson.

• A lesson credit.

• A refund for that lesson where an alternative cannot reasonably be provided.
```

Where a group class is cancelled by LANALTX, we may offer a replacement class, alternative date or appropriate credit.

A change of teacher does not by itself create a right to cancel the entire subscription where a suitable replacement teacher is provided.

SECTION 19 - LESSON ENTITLEMENTS DURING EACH BILLING PERIOD

A recurring lesson plan provides only the number or type of lesson entitlements stated for that Billing Period.

Unless the plan expressly says otherwise:

• Unused monthly lesson entitlements do not roll over.

• Unused group-class access does not roll over.

• Entitlements cannot be exchanged for cash.

• Entitlements cannot be transferred to another person.

• Lessons must be booked and used while the subscription is active.
```

Where booking availability controlled by LANALTX prevents you from reasonably using an included lesson, we will provide a reasonable extension, credit or alternative arrangement.

SECTION 20 - LESSON PACKAGE VALIDITY AND EXPIRY

Prepaid Lesson Packages must be used within the validity period displayed at purchase.

The validity period begins on the purchase date unless the plan states otherwise.

Lessons not used before the package expiry date may expire without refund.

Customers are responsible for booking sufficiently early to use the package before expiry.

We may extend a package where:

```
• LANALTX was unable to provide reasonable booking availability.

• The teacher cancelled lessons close to the expiry date.

• Exceptional circumstances justify an extension.
```

Any discretionary extension must be confirmed by LANALTX.

SECTION 21 - CANCELLING A SUBSCRIPTION

You may cancel a recurring subscription at any time to prevent future renewals.

Where available, cancellation may be completed through:

Account Settings

Subscriptions

Cancel Subscription

You may also submit a cancellation request through the LANALTX Withdrawal and Cancellation page or Contact Us page.

Cancellation normally takes effect at the end of the current paid Billing Period.

You will normally retain access until that date unless the account is suspended or terminated for a serious breach.

You should cancel before the renewal date to prevent the next payment.

Submitting a cancellation after a renewal payment has already been processed does not automatically create a right to a refund.

SECTION 22 - EFFECT OF SUBSCRIPTION CANCELLATION

When a Digital Subscription ends:

```
• Paid digital features may become unavailable.

• Account access may be reduced to a free level where offered.

• Subscription-only content may no longer be accessible.

• Future renewal charges will stop.
```

When a Lesson Subscription ends:

```
• Future recurring charges will stop.

• Unused monthly entitlements may expire at the end of the paid Billing Period.

• Lessons scheduled after the subscription end date may be cancelled unless otherwise agreed.

• Separate prepaid Lesson Packages remain subject to their own expiry dates.
```

Cancelling a subscription does not automatically delete your account or personal data.

Account and data deletion are handled separately under the Privacy Policy and available account controls.

SECTION 23 - EU RIGHT OF WITHDRAWAL

If you are an EU consumer purchasing online, you may have the right to withdraw from the contract within 14 days without giving a reason.

The 14-day period normally begins on the date the contract is concluded.

You may exercise this right through the LANALTX Withdrawal and Cancellation page or by contacting us with a clear statement that you wish to withdraw.

SECTION 23A - ONLINE WITHDRAWAL FUNCTION

Where a consumer purchases a Service through our website or another online interface, the consumer may also exercise an applicable right of withdrawal using the online function labelled “Withdraw from contract here” or another equally clear description.

The withdrawal function will remain prominently displayed and easily accessible throughout the applicable withdrawal period.

The consumer will be asked to provide or confirm:

```
• Their name.

• Information identifying the relevant contract, order or subscription.

• The email address or other electronic method to which confirmation should be sent.
```

The consumer will then submit the request using a function labelled “Confirm withdrawal” or another equally clear description.

We will send an acknowledgement without undue delay on a durable medium, normally by email. The acknowledgement will include the submitted information and the date and time of submission.
 

SECTION 24 - SERVICES STARTED DURING THE WITHDRAWAL PERIOD

You may request that lessons, coaching or another service begin during the 14-day withdrawal period.

Where required, we will ask you to expressly request early performance.

If you withdraw after the requested service has started, you may be required to pay a proportionate amount for the service already supplied before your withdrawal request.

For example, this may include a lesson already delivered during the withdrawal period.

Your right to withdraw from a service contract is lost after the service has been fully performed only where:

```
• You expressly requested that performance begin during the withdrawal period.

• You acknowledged that the right would be lost once the service was fully performed.

• The service was then fully performed.
```

SECTION 25 - DIGITAL CONTENT AND IMMEDIATE ACCESS

Different rules may apply to digital content that is supplied immediately and is not provided on a physical medium.

This may include downloadable materials, ebooks or other files supplied for immediate download.

Your withdrawal right may be lost when supply begins only where:

```
• You gave prior express consent for supply to begin during the withdrawal period.

• You acknowledged that you would lose the withdrawal right once supply began.

• We provided the required confirmation of that consent and acknowledgement.
```

Simply placing a general acceptance clause in these Terms does not replace any separate consent required during checkout.

SECTION 26 - WITHDRAWAL REFUNDS

Where a valid withdrawal applies, we will refund the amount due using the original payment method unless another method is agreed.

The refund will be made without undue delay and normally within 14 days after we are informed of the valid withdrawal.

Any lawful proportionate amount for services already supplied may be deducted where applicable.

After withdrawal, access to the relevant subscription, digital service or content may be disabled.

SECTION 27 - REFUNDS OUTSIDE THE WITHDRAWAL PERIOD

Nothing in these Terms removes mandatory consumer rights.

A refund, price reduction, repair, restored access or other remedy may be available where:

• A paid service was not supplied.

• A digital service does not work as described.

• LANALTX cannot provide the purchased service.

• A duplicate payment was taken.

• A billing error occurred.

• A serious technical problem prevents access and cannot be corrected.

• Applicable law requires another remedy.
```

Outside legal rights, refunds are not normally provided for:

```
• Failure to attend a lesson.

• Late cancellation.

• Customer-side technical problems.

• Unused monthly entitlements.

• Failure to use a Lesson Package before expiry.

• Change of mind after the withdrawal period.

• Failure to cancel before a renewal date.
```

We may consider exceptional cases individually.

SECTION 28 - CHANGES TO SUBSCRIPTION SERVICES

We may update, improve or change a Subscription Service for valid reasons, including:

```
• Security.

• Legal compliance.

• Technical maintenance.

• Compatibility.

• Product improvement.

• Provider changes.

• Teacher availability.

• Changes in lesson scheduling.

• Commercial sustainability.
```

Where a change materially reduces a paid service, we will provide reasonable notice where practicable.

If a material adverse change affects a future Billing Period, you may cancel before that change takes effect.

We will not retrospectively remove benefits already supplied during a paid Billing Period unless necessary for security, law or serious misuse.

SECTION 29 - AI-ASSISTED FEATURES

Some applications and services use artificial intelligence to generate lesson materials, feedback, corrections, summaries, exercises or suggested learning content.

AI-generated content may be inaccurate, incomplete, biased, outdated or unsuitable.

Customers, learners and teachers must review AI-generated information before relying on or sharing it.

AI-assisted Services do not guarantee:

```
• A particular learning outcome.

• Examination success.

• Employment success.

• Fluency.

• Error-free feedback.

• Continuous availability.
```

AI output is educational support and is not legal, medical, financial, psychological, immigration or safeguarding advice.

SECTION 30 - PRIVACY AND PERSONAL DATA

LANALTX processes personal data in accordance with the LANALTX Privacy Policy.

Payment information may be processed by third-party payment providers.

Lesson information may be shared with the assigned teacher where necessary to provide the service.

Digital and AI-assisted features may process prompts, answers, practice records, feedback and learning information.

Users must not submit unnecessary sensitive information, passwords, financial records, government identification, medical records or safeguarding information.

Lesson Studio must not be used to process information about anyone under 18.

SECTION 31 - INTELLECTUAL PROPERTY

LANALTX and its licensors retain ownership of the Services, software, applications, templates, branding and original content.

A valid subscription gives you a limited, non-exclusive and non-transferable right to use the relevant Service during the active subscription period.

Unless the plan expressly permits professional use, subscription content is supplied for personal educational use.

Lesson Studio teacher subscriptions permit teachers to use generated materials in their own lawful teaching of adult learners.

You must not:

```
• Resell subscription access.

• Share paid accounts.

• Redistribute protected content.

• Copy an application or its source code.

• Extract content in bulk.

• Remove ownership notices.

• Present LANALTX content or software as your own.

• Use protected content to create a competing service.
```

SECTION 32 - ACCEPTABLE USE

You must not use the Services to:

```
• Break the law.

• Harass or abuse teachers or other learners.

• Upload malicious code.

• Circumvent subscription controls.

• Interfere with the website or applications.

• Scrape or extract content automatically.

• Reverse engineer software.

• Share account access.

• Commit fraud.

• Misrepresent your age or identity.

• Enter information about minors into Lesson Studio.

• Use Lesson Studio to teach or manage anyone under 18.
```

SECTION 33 - SUSPENSION AND TERMINATION BY LANALTX

We may restrict, suspend or terminate a subscription where:

```
• Payment remains unpaid.

• These Terms are materially or repeatedly breached.

• The account is used fraudulently.

• The customer abuses a teacher or another participant.

• Security or access controls are bypassed.

• The service is used unlawfully.

• Account access is shared without permission.

• Lesson Studio is used in connection with anyone under 18.

• Suspension is required by law or a competent authority.
```

Where appropriate, we will provide notice and an opportunity to correct the problem.

We may act immediately where necessary to protect users, teachers, data, systems or third parties.

SECTION 34 - SERVICE AVAILABILITY

We aim to provide reliable Services but cannot guarantee uninterrupted availability.

Access may be affected by:

```
• Maintenance.

• Internet failure.

• Hosting outages.

• Payment-provider outages.

• Third-party platform failure.

• Teacher illness.

• Security incidents.

• Events outside our reasonable control.
```

Where a significant failure affects a paid Service, we will take reasonable steps to restore access or provide an appropriate remedy.

SECTION 35 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Nothing in these Terms removes mandatory consumer rights.

For consumer customers, LANALTX is responsible for reasonably foreseeable loss caused by our breach of contract or failure to use reasonable care and skill.

We are not responsible for loss caused by:

• Incorrect information provided by the customer.

• Customer-side technical failure.

• Failure to attend or book lessons.

• Unsupported devices.

• Unauthorised account sharing.

• Events outside our reasonable control.
```

Where a customer purchases the Services wholly or mainly for business purposes, LANALTX’s total liability arising from the relevant Subscription Service will not exceed the subscription fees paid during the 12 months preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited.

SECTION 36 - NO GUARANTEED OUTCOME

Language learning and coaching results vary between individuals.

Progress depends on factors including attendance, practice, participation, existing level and personal circumstances.

LANALTX does not guarantee:

```
• A particular CEFR level.

• A test score.

• A job offer.

• Interview success.

• Promotion.

• Fluency by a particular date.

• A specific commercial or academic result.
```

SECTION 37 - CHANGES TO THESE TERMS

We may update these Terms to reflect changes in law, services, technology, billing, security or business operations.

We will provide reasonable notice of material changes.

Changes will not normally apply retrospectively.

Where a material change affects a future Billing Period, you may cancel before the change takes effect.

Where fresh consent is legally required, we will request it separately.

SECTION 38 - GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Republic of Cyprus.

If you are a consumer living in another country, this does not remove any mandatory protections available under the law of your country of residence.

Please contact LANALTX first so that we can try to resolve a complaint directly.

Nothing in these Terms prevents a consumer from bringing a claim before a court that has jurisdiction under applicable law.

Consumers may also have access to an appropriate consumer-protection authority or alternative dispute-resolution body.

SECTION 39 - GENERAL PROVISIONS

If one provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.

A delay in enforcing a right does not waive that right.

You may not transfer your subscription or contractual rights without our consent.

We may transfer the contract as part of a sale, restructuring or transfer of the business, provided this does not reduce mandatory consumer protections.

A person who is not a party to the contract has no right to enforce these Terms except where applicable law expressly provides otherwise.
